Job Title: Legal Superintendent
Responsibilities
- Review company policies and procedures;
- Ensure that policies and procedures comply with relevant laws and advise when they are not;
- Liaise with and advise staff and Management of the Company;
- Audit companywide compliance.
- Provide all such other administrative and other secretarial duties as directed by the Legal Manager.
- To manage the day to day legal and administrative activities of the Company
- Provide legal advices to Company Departments and Managers
- Draft, review and execute all legal contracts
- Liaise with Company’s external lawyers
- Liaise with Company’s Clients
- Train and mentor junior staff and other members of the Department
- Review and write company contracts, MOU, MOA, confidentiality agreements and other legal documents (internal and with third parties);
- Apply for acceptance & registration of new FZ enterprises;
- Apply for confirmation of STR visas for new employees to Nigerian HCs;
- Apply for Free Zone vehicle number plates;
- Reporting of vessels‘ calls and tonnage / activities;
- Reporting of inward and outward cargo movements;
- General daily contact with NEPZA representatives
- Preparation of various remuneration as per tariff.
- Apply for regularization and issuing of CERPAC for FZE employees;
- Apply for re-entry visas;
- Reporting of vessel’s calls for inward and outward clearances;
- Crew changes on vessels calling FZ;
- Daily reporting of expat-movements in and out of FZ;
- General daily contact with NIS representatives on base;
- Preparation of various remuneration as per tariff.
- Reporting of inward and outward movements of goods on transpire;
- Reporting of general movement of inward and outward goods;
- Reporting of vessels‘ calls for inward and outward clearance and to monitor any discharge / loading;
- Reporting of other inward and outward movements of cargoes via KLT 1;
- Reporting of cargo movements to NCS posted at KLT 1;
- General daily contact with NCS representatives on base;
- Sporadic contact with CACs at KLT & LPC;
- Maintain statutory books, including; a register of present and past directors and secretaries; a register of all shareholders, past and present and their shareholdings; a register of any charges on the company’s assets; minutes of general meetings and board meetings; a register of the debenture holders.
- File annual returns, directors’ report and auditors’ report and financial statements, at the Corporate Affairs Commission and with the Free Trade Zone management, as appropriate.
- Arrange meetings of the directors and the shareholders, which includes issuing proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken.
- Inform the Corporate Affairs Commission and/or Free Trade Zone authorities of any significant changes in corporate structure or management.
- Establish and maintain the registered office as the address for any formal communications.
- Ensure that all business stationery carries the relevant entity’s name, registered number, country of registration and registered address.
- Ensure the security of each entity’s legal documents, including for example, the certificate of incorporation and memorandum and articles of association
Education and Qualifications
- LL.B. (Hons) with a minimum of second-class lower division from a reputable University.
- B.L. from the Nigerian Law School.
- A valid NYSC discharge or exemption certificate will be required.
Experience:
- A minimum of five years of progressively responsible experience in the practice of law, including legal analysis, research and writing, is required.
- Experience at a leading law firm dealing with corporate and commercial law or infrastructure matters is required, especially in the preparation, review, negotiation and documentation of commercial and infrastructure contracts.
