Job Title: Legal Officer
Position Overview
- A Legal Officer in Nigeria is responsible for overseeing all legal and regulatory affairs of the organization. This role ensures that the company complies with Nigerian laws and regulations, mitigates legal risks, and provides legal guidance to management.
Key Responsibilities
Legal Compliance & Advisory:
- Ensure the company complies with all applicable laws, regulations, and corporate governance standards in Nigeria.
- Provide legal advice to management on contracts, business strategies, and regulatory issues.
- Stay updated on changes in Nigerian corporate, labour, and industry laws that may impact the company.
Contract Management:
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Ensure all contracts align with the company’s interests and mitigate risks.
- Maintain a database of legal documents and agreements.
Corporate Governance & Regulatory Affairs:
- Ensure compliance with the Companies and Allied Matters Act (CAMA) and other corporate governance laws.
- Liaise with regulatory bodies such as the Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant agencies.
- Manage board meetings, prepare minutes, and oversee corporate filings.
Litigation & Dispute Resolution:
- Represent the company in legal proceedings, arbitrations, and negotiations.
- Work with external legal counsel to manage lawsuits, disputes, and claims.
- Develop strategies to prevent legal disputes and minimize litigation risks.
Risk Management:
- Identify potential legal risks in business operations and propose mitigation measures.
- Develop policies and procedures to reduce legal exposure.
- Conduct internal compliance audits and training sessions for staff.
Intellectual Property & Data Protection:
- Ensure the protection of company trademarks, patents, and intellectual property.
- Oversee compliance with data protection laws, including the Nigerian Data Protection Regulation (NDPR).
Employment & Labor Law Compliance:
- Advise on labour law compliance, employee contracts, and workplace policies.
- Handle legal issues related to employee relations, disciplinary actions, and terminations.
Qualifications & Requirements
- Bachelor of Laws (LL.B) from a recognized institution.
- Call to the Nigerian Bar (B.L) and a valid practising license.
- 5-10 years of legal experience, preferably in corporate law, commercial law, or regulatory compliance.
- Strong knowledge of Nigerian business and corporate laws.
- Experience in contract negotiation, legal drafting, and dispute resolution.
- Excellent analytical, problem-solving, and communication skills.
- Ability to work independently and provide sound legal judgment.
Preferred Skills:
- Experience in regulatory compliance within industries.
- Understanding of international business law and cross-border transactions.
- Strong negotiation and stakeholder management skills.
